The current system for the compensation of Executive Board members within the meaning of § 87a of the German Stock Corporation Act (AktG) was approved by the Annual General Meeting on 14 December 2021 with a majority of 96.42%. It is provided in the invitation to the Annual General Meeting of 14 December 2021 under agenda item 7.
The compensation of Supervisory Board members is governed by Art. 18 of the Articles of Association. The Annual General Meeting on August 23, 2022, with a majority of 93.47% of the votes cast, amended Section 18 of the Articles of Association and adopted the compensation system for Supervisory Board members as reflected in the notice of this Annual General Meeting. The amendment to the Articles of Association has become effective and is currently in force. The notice of the Annual General Meeting on August 23, 2022, including the resolved version of § 18 of the Articles of Association and the resolved compensation system, is available with this LINK.
The Annual General Meeting of December 14, 2021, had previously confirmed, with a majority of 96.29% of the votes cast, the provision existing at that time in § 18 of the Articles of Association together with the compensation system for the members of the Supervisory Board reproduced in the notice convening this Annual General Meeting.
